Cautionary Note on Forward-Looking Statements

This website by American Potash Corp. may include statements concerning future operations, prospects, strategies, plans, projections, forecasts, financial conditions and economic performance, as well as intentions and objectives, that are forward-looking statements. These statements are based upon a number of assumptions and estimates that are subject to significant risks and uncertainties, many of which are beyond our control. Such risks and uncertainties include fluctuations in commodity prices, unpredictable results of exploration activities, uncertainties inherent in the estimation of mineral resources, fluctuations in the costs of goods and services, problems associated with exploration, development and mining operations, inability to complete proposed acquisition(s), changes in legal, social or political conditions in the jurisdictions where American Potash Corp. operates, lack of appropriate funding and other risk factors, as discussed in American Potash Corp.’s filings with Canadian securities regulatory agencies. Should one or more of these risks or uncertainties materialize, or should underlying assumptions or estimates prove incorrect, actual results may vary materially from those anticipated, believed, estimated or expected. When used, words like “anticipates, ” “expects, ” “believes, ” “forecasts”, “projects”, “estimates, ” “seeks, ” “plans, ” “intends” and similar expressions are intended to identify forward-looking statements designed to fall within securities laws’ safe harbours for forward-looking statements. American Potash Corp. cautions readers not to place undue reliance on any such forward-looking statements, which speak only as of the date made. American Potash Corp. disclaims any obligation to subsequently revise any forward-looking statements to reflect events or circumstances after the date of such statements or to reflect the occurrence of anticipated or unanticipated events. This Site and the information contained herein do not constitute an offer or a solicitation of an offer for sale of any securities. None of the information contained herein is intended to be, and shall not be deemed to be, incorporated into any of American Potash Corp.’s or its affiliates’ securities-related filings or documents.

Cautionary Note on Mineral Resource Estimates

American Potash Corp. is a reporting issuer in Canada and is required to discuss mineralization estimates in accordance with Canadian reporting standards. The terms “inferred mineral resource” and “indicated mineral resource” which may be used in this presentation are in reference to the mining terms defined in the Canadian Institute of Mining, Metallurgy and Petroleum Standards, which definitions have been adopted by Canadian National Instrument 43-101 — Standards of Disclosure for Mineral Projects. The terms “mineral resource”, “measured mineral resource”, “indicated mineral resource” and “inferred mineral resource” are defined in and required to be disclosed by NI 43-101; however, these terms are not defined terms under United States Securities and Exchange Commission’s Industry Guide 7 and are normally not permitted to be used in reports and registration statements filed with the SEC. Accordingly, information contained in this presentation containing descriptions of our mineral deposits in accordance with NI 43-101 may not be comparable to similar information made public by U.S. companies under the United States federal securities laws and the rules and regulations thereunder. Investors are cautioned not to assume that any part or all of mineral deposits in these categories will ever be converted into reserves. “Inferred mineral resources” have a great amount of uncertainty as to their existence, and great uncertainty as to their economic and legal feasibility. It cannot be assumed that all or any part of an inferred mineral resource will ever be upgraded to a higher category. Under Canadian rules, estimates of inferred mineral resources may not form the basis of feasibility or pre-feasibility studies, except in rare cases. Investors are cautioned not to assume that all or any part of an inferred mineral resource exists or is economically or legally mineable. Disclosure of “contained tonnes” in a resource is permitted disclosure under Canadian regulations; however, the SEC normally only permits issuers to report mineralization that does not constitute “reserves” by SEC standards as in place tonnage and grade without reference to unit measures.

Choice of Law

This Agreement shall be governed by the laws of the Province of British Columbia without regard to the conflicts of laws rules of any jurisdiction.
